1. Agreement to Terms
By accessing thewhynotlabs.com (“Site”), placing an order, creating an account, or using any services provided by WhyNot Labs LLC (“WhyNot Labs,” “we,” “us,” or “our”), you (“Purchaser,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”).
If you don’t agree with these Terms, don’t use our Site or purchase our products. Pretty simple.
These Terms constitute a legally binding agreement between you and WhyNot Labs LLC, a Kansas limited liability company.
2. Eligibility
To use our Site and purchase products, you must:
- Be at least 21 years of age
- Be engaged in legitimate scientific research
- Have the legal capacity to enter into binding contracts
- Not be located in a jurisdiction where the purchase of research chemicals is prohibited
By placing an order, you represent and warrant that you meet all of these requirements. We reserve the right to request verification at any time, and to refuse or cancel orders where eligibility cannot be confirmed.
3. Account Registration
You may need to create an account to place orders. When you do:
- You’re responsible for keeping your login credentials secure
- You’re responsible for all activity that happens under your account
- You agree to provide accurate, current information
- You’ll let us know immediately if you suspect unauthorized access
We can suspend or terminate accounts at our discretion, particularly if we believe the account is being used in violation of these Terms.
4. Research Use Only Agreement
This is the most important section of these Terms. Read it carefully.
All products sold by WhyNot Labs are intended exclusively for laboratory research use only. They are not intended for human or animal consumption, diagnosis, treatment, cure, or prevention of any disease.
By purchasing from WhyNot Labs, you explicitly acknowledge and agree that:
- You are purchasing products solely for legitimate scientific research purposes conducted in an appropriate laboratory or research setting.
- You will not use, administer, or facilitate the use of any WhyNot Labs product for human or animal consumption, under any circumstances.
- You will not resell, redistribute, or transfer any WhyNot Labs product to any party who intends to use the product for human or animal consumption.
- You understand that these products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for any purpose, including but not limited to the treatment, cure, mitigation, or prevention of any disease or medical condition.
- You assume full responsibility for the proper handling, storage, and disposal of all products in accordance with applicable laws and safety protocols.
- You will comply with all federal, state, and local laws regarding the purchase, possession, and use of research chemicals in your jurisdiction.
Violation of this section constitutes a material breach of these Terms and may result in immediate account termination, order cancellation, and refusal of future service.
5. Products and Pricing
Product Information. We do our best to describe our products accurately, including compound identity, concentration, and purity information. All product descriptions are for informational and research reference purposes only. Nothing on our Site should be interpreted as a medical claim or therapeutic recommendation.
Pricing. All prices are listed in U.S. dollars. We reserve the right to change prices at any time without notice. The price at the time you place your order is the price you pay. Simple.
Availability. Products are subject to availability. We may limit quantities and discontinue products at any time. If we can’t fulfill your order, we’ll let you know and issue a full refund.
Third-Party Testing. All products are independently tested by third-party laboratories. Certificates of Analysis (COAs) are published on our Site for every batch. COAs reflect testing results at the time of analysis and are provided for informational purposes only.
6. Orders and Payment
Order Acceptance. Placing an order is your offer to buy. We’re not obligated to accept any order. We may refuse or cancel orders at our sole discretion, including but not limited to cases where:
- We suspect the products may be used in violation of Section 4
- Payment cannot be verified
- The order contains errors in pricing or product information
- We identify potentially fraudulent activity
- The shipping destination raises compliance concerns
Payment Methods. We accept payment through our approved payment processors and cryptocurrency. All transactions are processed in U.S. dollars unless otherwise specified.
Payment Processing. Credit and debit card payments are processed by third-party payment processors. We don’t store your full card information on our servers. Cryptocurrency payments are processed through our integrated crypto payment solution and are subject to their respective terms of service.
Order Confirmation. You’ll receive an email confirming your order. This confirmation doesn’t constitute acceptance. Acceptance occurs when we ship the product.
7. Shipping and Delivery
Processing Time. Orders placed before 2:00 PM Central Time on business days are typically shipped the same day. Orders placed after 2:00 PM or on weekends/holidays ship the next business day.
Shipping Methods. We ship via UPS and FedEx. Tracking information is provided for every shipment, typically within 15 minutes of label creation.
Free Shipping. Orders of $150 or more qualify for free standard shipping within the continental United States.
Risk of Loss. Title and risk of loss transfer to you upon delivery to the carrier. If a package is lost or damaged in transit, contact us within 7 days of the expected delivery date and we’ll work with the carrier to resolve it.
Shipping Restrictions. We currently ship only within the United States. We reserve the right to refuse shipment to any address or jurisdiction at our discretion.

8. Returns and Refunds
Return Window. We accept returns within 30 days of delivery for unopened, undamaged products in their original packaging.
Damaged Products. If your order arrives damaged, contact us within 48 hours with photos. We’ll send a replacement without requiring the damaged product back.
Non-Returnable Items. Opened products cannot be returned due to the nature of research chemicals and quality assurance requirements. We can’t verify the integrity of opened or tampered products.
Refund Processing. Refunds are issued to the original payment method within 5-10 business days. Cryptocurrency purchases are refunded in USD equivalent or store credit, at the Purchaser’s choice.

9. Intellectual Property
All content on the Site, including text, graphics, logos, images, and software, is the property of WhyNot Labs LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from any content on our Site without our written permission.
The WhyNot Labs name, logo, and all related marks are trademarks of WhyNot Labs LLC. Use of our trademarks without written authorization is prohibited.
10. Limitation of Liability
To the fullest extent permitted by law, WhyNot Labs LLC, its officers, members, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages arising from your use of our Site or products
- Any injury, illness, or damage resulting from the misuse, improper handling, or unauthorized consumption of any product purchased from WhyNot Labs
- Any loss or damage caused by events outside our reasonable control, including but not limited to shipping carrier errors, payment processor failures, or force majeure events
- Any damages exceeding the total amount you paid to WhyNot Labs in the 12 months preceding the claim
You acknowledge that research chemicals carry inherent risks when not handled properly, and you assume all responsibility for the safe handling, storage, use, and disposal of all products purchased from WhyNot Labs.
11. Indemnification
You agree to indemnify, defend, and hold harmless WhyNot Labs LLC, its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of our Site or products
- Your violation of these Terms
- Your violation of any applicable law
- Any misuse or unauthorized use of products purchased from WhyNot Labs
- Any third-party claim related to your use of our products
This indemnification obligation survives the termination of these Terms and your use of the Site.
12. Dispute Resolution
Governing Law. These Terms are governed by the laws of the State of Kansas, without regard to conflict of law principles.
Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the purchase of products from WhyNot Labs shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in Johnson County, Kansas.
Class Action Waiver. You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against WhyNot Labs LLC.
Small Claims Exception. Either party may bring an individual action in small claims court in Johnson County, Kansas, if the claim falls within that court’s jurisdiction.
Injunctive Relief. Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
13. Privacy
Your privacy matters to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Site, you consent to the practices described in the Privacy Policy.
14. Acceptable Use
Your use of our Site and products is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations of the Acceptable Use Policy constitute a violation of these Terms.
15. Termination
By You. You can stop using our Site and close your account at any time by contacting us at [email protected].
By Us. We may suspend or terminate your account and access to our Site at any time, without prior notice, for any reason, including but not limited to:
- Violation of these Terms (particularly Section 4)
- Suspected fraudulent or illegal activity
- Requests from law enforcement
- Conduct that we determine, in our sole discretion, is harmful to our business, other customers, or third parties
Termination doesn’t affect any rights or obligations that accrued before termination. Sections 4, 10, 11, 12, and this Section 15 survive termination.
16. Modifications
We can update these Terms at any time. When we do, we’ll revise the “Last Updated” date at the top. If we make material changes, we’ll make a reasonable effort to notify you (like an email or site banner).
Your continued use of the Site after changes are posted means you accept the updated Terms. If you don’t agree with a change, stop using the Site.
17. General Provisions
Entire Agreement. These Terms, along with the Privacy Policy, Acceptable Use Policy, Disclaimer, and any other policies referenced here, constitute the entire agreement between you and WhyNot Labs.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Waiver. Our failure to enforce any right or provision of these Terms doesn’t constitute a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
No Agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and WhyNot Labs.
Force Majeure. We’re not liable for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, pandemics, government actions, supply chain disruptions, or infrastructure failures.
